Terms of Use
Welcome to ControlBoard and the allied scheduling, dispatch, and accounting integrations we surface through Google Workspace, QuickBooks, and our core web app. These Terms of Use explain the scope of the license you receive, the obligations we each accept, and the guardrails around data, security, and support.
We bundle this page with our Privacy Policy and the Service Level Addendum outlined below, mirroring the multi-document structure that HubSpot uses—General Terms, Product-Specific Terms, Data Processing Agreement, and an Acceptable Use Policy—all of which are referenced from their Customer Terms of Service (see https://legal.hubspot.com/terms-of-service).
1. Definitions
Key words have the meanings you would expect in a SaaS context:
- Service – the ControlBoard web application plus the Google Workspace, QuickBooks, and ancillary interfaces we provide.
- Customer – the company or individual that contracts for one or more paid or trial ControlBoard subscriptions.
- Authorized Users – the persons you invite to your ControlBoard workspace under your seat licenses.
- Order Form – the document in your billing portal that lists products, quantities, billing frequency, and fees.
2. License & Access
Subject to these Terms and the payment of any Fees, we grant you a limited, non-exclusive, non-transferable license to access and use the Service solely for your internal business purposes. You may not resell the Service unless you first execute a reseller agreement with us. We may change features, APIs, and integrations as business needs evolve—as long as we do not materially reduce the overall functionality you were promised, we don’t need to republish a new Terms document each time (see Termly’s SaaS agreement checklist for guidance on change management: https://termly.io/resources/articles/saas-agreement/).
3. Billing & Payment
Fees, billing frequency, payment methods, and renewal mechanics are captured in your Order Form, just as HubSpot does in its Terms of Service. Unless otherwise stated, charges renew automatically for the term noted in the Order Form. You are responsible for keeping payment information current and paying all amounts when due.
Late payments accrue interest at the lesser of 1.5% per month or the maximum allowed by law. We reserve the right to suspend the Service if invoices remain past due for more than 30 days.
4. Acceptable Use
You agree to abide by the Acceptable Use Policy embedded in this page: do not transmit malware, spam, or harassions, and do not reverse engineer or otherwise misuse the platform. We also expect workspace owners to follow the dual-layer approach that Slack uses in their Main Services Agreement—Customer-level obligations for workspace administrators and User-level obligations for workspace guests—so you can separate who administers the service from who consumes it.
5. Customer Data and Privacy
You retain all rights to the data you upload into ControlBoard. We act as your data processor and only process Customer Data to provide the Service, comply with legal obligations, and improve performance. We comply with our Privacy Policy, the Data Processing Agreement, and any applicable privacy frameworks you accept when you signed up.
6. Service Levels & Support
We target 99.95% uptime, measured on a trailing 30-day window. If we fail to meet the uptime commitment, you are eligible for service credits as described in the Service Level Addendum. We also publish escalation paths for security incidents and regularly test failover just like other enterprise SaaS providers.
Support requests can be submitted at support@controlboard.app or through the in-app help center. Response times depend on your plan level, with production-impact issues being our top priority.
7. Security, Compliance, & Audit
We operate under the security, trust, and compliance notices linked from the ControlBoard Trust page. We use industry-standard encryption in transit and at rest, support multi-factor authentication, and maintain SOC 2 type II controls. For any audit or compliance request, contact security@controlboard.app with the scope and you’ll get guidance within two business days.
8. Termination
Either party may terminate the Agreement with 30 days’ notice after the initial term. We may also terminate immediately if you breach these Terms, stop paying fees, or violate the Acceptable Use Policy. Upon termination you lose access to the platform and should export any data you need; we will retain it for 30 days to honor data retention obligations.
9. Disclaimers & Limitation of Liability
Except as set forth in an applicable Order Form, the Service is provided “as is” and we disclaim all implied warranties to the extent permitted by law. Our total liability is capped at the greater of the fees you paid in the previous 6 months or $50,000, whichever is higher. Nothing in these Terms limits liability for gross negligence, willful misconduct, or indemnity obligations.
10. Governing Law
These Terms are governed by the laws of the State of Connecticut, U.S.A. If you are in the European Union, you may also pursue consumer rights in your home jurisdiction where mandatory.
11. Changes to the Terms
We update these Terms to reflect product changes, legal requirements, or international operations. Whenever we make a material change, we will notify you via email or the in-app notification system. You are responsible for reviewing the Terms periodically. If you disagree with an update, you may stop using the Service and request account closure.
